Governance

Governance is the set of principles, mechanisms, rules and relationships that govern the management of a company. Monnalisa is organized according to the traditional administration and control model with the Shareholders’ Meeting, the Board of Directors, the Board of Statutory Auditors and the External Auditors.

BOARD OF DIRECTORS:

The main corporate governance body is the Board of Directors which has the primary responsibility for determining and pursuing the strategic objectives of the Company and of the Group. The Board was appointed by the Shareholders’ Meeting of May 31, 2021.

BOARD OF STATUTORY AUDITORS

The Board of Statutory Auditors represents the Company’s control authority and supervises the compliance with the law, as well as with the principles of correct administration with the focus to the adequacy of the organizational, administrative and accounting structure adopted by the directors and its correct functioning.

THE STATUTE

The Statute is the act that defines the essential characteristics of the Company and instructs the main rules of organization and operation, in compliance with the mandatory rules set by the Civil Code. It also provides for the composition of the corporate bodies, their powers and reciprocal relations. The Statute also contains a description of the rights of the shareholders and the relative procedures for exercising them.

EXTERNAL AUDITORS:

The statutory audit assignment for the years 2021-23 was entrusted to the company EY SpA.

CODE OF ETHICS:

The Code of Ethics represents the charter of values ​​in which Monnalisa believes and the principles of behavior which must inspire all those who in various capacities work on behalf of the company or collaborate with it.

The values ​​and ethical principles, like the legal, regulatory and contractual provisions, outline the organization and activities of Monnalisa and its subsidiaries, representing the guidelines of its daily actions.

Monnalisa’s Governance is based on sustainability.

 Sustainability is in fact the framework within which all the principles inspire strategies, policies and behaviours.

 Monnalisa pursues a development model based on the creation of value with a long-term perspective, which knows how to take into consideration and reconcile the interests of all relevant stakeholders for the Company. This takes the form of effective governance, attention to relations with all external and internal stakeholders, recognition of the company’s social role and, lastly, respect for the environment.

 The industrial plan and the ESG objectives set out in the sustainability plan are closely linked and interconnected, with the aim of actively contributing to the achievement of some of the Sustainable Development Goals defined by the United Nations.

The Group operates thanks to the diversity of each one (gender, skin colour, age, sexual orientation, marital status, religious belief, ethnic or national affiliation, language, state of health and physical or mental abilities, political opinions, pregnancy, maternity , paternity, union affiliation or activity and any other form of diversity) recognizing in it a richness to be valued and promoted.
